Contract translation with Chinese companies: the fine points of a bilingual text

01

Why the Chinese text matters: the contract the Chinese side actually reads

Many Turkish buyers sign only an English contract with their Chinese supplier. Yet the sales manager, production chief and accounts department at the factory usually read the Chinese text, while the English contract stays in a file. If a dispute arises, a court or arbitration body in China will also refer more easily to the Chinese text. At Yeni İpekyolu we translate your contract into Chinese or prepare a two-column bilingual text from the outset. That way everyone inside the factory reads the same quality requirement, the same delivery date and the same penalty clause.

A bilingual contract must always contain a prevailing language clause stating clearly which text applies if the two differ. Without it, even a carefully drafted Turkish text can be weakened by a single differing expression in the Chinese version. During translation we align the two texts paragraph by paragraph and flag every point that could create a difference in meaning. On matters requiring legal assessment we work with your lawyer, and for contracts governed by Chinese law we can also coordinate with licensed lawyers in China.

02

Payment, Incoterms and quality: the clauses where most losses occur

The most common payment structure in trade with China is a deposit on order and the balance before shipment. If the contract does not state clearly on what condition the balance is paid, for example after an independent inspection report is approved, the buyer loses bargaining power. The choice of Incoterms is equally important: cost and risk allocation are very different between FOB Ningbo and EXW Yiwu. In translation we keep these terms in their standard English abbreviations and add the Chinese equivalents, so both sides understand the same delivery point.

The quality clause is the section Turkish buyers most often leave vague and later regret. Expressions such as “good quality” or “as per sample” can be interpreted differently in the Chinese text. We translate concretely how the approved sample will be kept, the acceptable defect rate, packaging and labelling requirements and what happens in case of defective goods. If technical annexes, size charts and material lists are part of the contract, we translate them with the same term list and make sure they do not contradict the main text.

03

Seal, company name and signing authority: the right identity on the Chinese side

In China, what makes a contract binding is often the company seal or contract seal (合同章) rather than a signature. The Chinese company name in the contract must match the name on the business licence and on the seal exactly. An Alibaba store name or an English trading name is not enough. During translation we check the party's full Chinese name, registered address and unified social credit code and write them correctly into the text. If your counterpart is a trading company and production takes place in another factory, we flag this so it is shown clearly in the contract.

For work requiring intellectual property protection, the NNN agreement (non-disclosure, non-use, non-circumvention) common in China is more effective when drafted in Chinese. We translate clauses such as mould ownership, use of the brand and not selling designs to other customers in plain language the Chinese factory will truly understand. At Yeni İpekyolu we can also check the company's registration separately and give you a short summary before the contract is signed.

02 · Who it is for

Companies that need their contracts in Chinese

01

Importers placing their first large order

What our contract translation package covers

01

Full Turkish ⇄ Chinese translation

06 · FAQ

Frequently asked questions

Isn't an English contract enough? Why is Chinese needed?

An English contract may be valid, but the team inside the factory usually reads Chinese. If a dispute arises in China, a Chinese text makes the process easier. A bilingual text with a clear prevailing language clause protects both sides.

Which language should prevail?

It is a commercial and legal decision that depends on the governing law and where disputes will be resolved. We recommend deciding together with your lawyer. We ensure your chosen language is reflected correctly in the text and that both versions match.

Do you review the contract legally?

We specialise in language and commercial practice; we flag differences in meaning and risky expressions common in trade with China. Legal opinions are given by licensed lawyers. For matters under Chinese law, we can coordinate with lawyers in China.

My Chinese supplier won't sign a contract and only sends a proforma. What should I do?

This is common for small orders. A good middle ground is a short Chinese order annex covering quality, delivery and balance terms, sealed together with the proforma. We can prepare this annex quickly and send it to the supplier in Chinese.

Is a contract with only a signature and no seal enough?

In Chinese practice, the company seal or contract seal is decisive. We recommend that the seal and company name match the business licence. When you receive the signed copy, we can check the seal text.

How long does the translation take?

Timing depends on page count and technical annexes; short contracts are usually delivered quickly. If your order or signing meeting is approaching, we plan priority handling. We give a firm date after seeing the text.

How is confidentiality protected?

Contracts are shared only with the translator and reviewer working on the file. If you wish, we sign a confidentiality agreement with you before starting. Files are archived or deleted at your request when the job is done.
